Introduction

Welcome to FlowDine.

FlowDine is a restaurant technology product owned and operated by Graycrest Technologies Limited. FlowDine helps restaurants manage digital menus, QR code ordering, table orders, staff workflows, payment references, customer orders, restaurant reports, and operational accountability.

These Terms and Conditions govern your access to and use of FlowDine, including our website, customer ordering pages, restaurant dashboard, staff dashboard, admin portal, QR ordering system, mobile or web applications, APIs, support channels, and related services.

By accessing, registering for, or using FlowDine, you agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you should not use FlowDine.

Definitions

"Graycrest," "we," "us," or "our" means Graycrest Technologies Limited.

"FlowDine" means the restaurant technology platform, software, website, dashboard, ordering system, and related services provided by Graycrest Technologies Limited.

"User," "you," or "your" means any person who accesses or uses FlowDine, including restaurant owners, restaurant administrators, restaurant staff, customers, vendors, or visitors.

"Restaurant" means any food service business, restaurant, lounge, bar, café, fast-food outlet, hotel restaurant, food vendor, or hospitality business using FlowDine.

"Restaurant Customer" means a person who uses FlowDine to view a menu, place an order, make payment, request service, or interact with a restaurant.

"Restaurant Staff" means employees, agents, waiters, kitchen staff, cashiers, managers, or representatives of a restaurant using FlowDine.

"Account" means a registered profile created by or for a user on FlowDine.

"Order" means a food, drink, product, or service request submitted through FlowDine.

"Content" means text, images, menus, prices, descriptions, logos, business information, product details, reviews, comments, and other materials uploaded or displayed on FlowDine.

"Subscription" means any paid plan or recurring fee paid by a restaurant to access FlowDine.

About FlowDine

FlowDine is designed to help restaurants improve their operations by providing tools for:

  1. Digital menu management.
  2. QR code table ordering.
  3. Customer order placement.
  4. Staff order management.
  5. Kitchen and counter workflow tracking.
  6. Payment reference recording.
  7. Restaurant sales and order reporting.
  8. Branch and table management.
  9. Staff role and permission control.
  10. Operational transparency and accountability.

FlowDine is a technology platform. Graycrest Technologies Limited does not cook food, prepare meals, manage restaurant staff, own the restaurants listed on FlowDine, or directly control the quality, availability, pricing, preparation, or delivery of food and drinks sold by restaurants, unless expressly stated otherwise.

Acceptance of Terms

By using FlowDine, you confirm that:

  1. You have read and understood these Terms.
  2. You agree to comply with these Terms.
  3. You have the legal authority to use FlowDine.
  4. If you are using FlowDine on behalf of a restaurant or business, you have authority to bind that restaurant or business.
  5. Any information you provide to FlowDine is accurate and lawful.

If you do not agree to these Terms, you must stop using FlowDine immediately.

Eligibility

To use FlowDine, you must be legally capable of entering into a binding agreement under applicable law.

Where a restaurant creates an account, the person creating the account confirms that they are authorised to act for the restaurant.

Restaurant staff may only use FlowDine where they have been authorised by the restaurant owner, manager, or administrator.

Restaurant customers may use FlowDine to place orders in participating restaurants, subject to the restaurant's own rules, availability, pricing, and service conditions.

User Categories

FlowDine may be used by different categories of users, including:

Restaurant Owners and Administrators

Restaurant owners and administrators may use FlowDine to manage restaurant profiles, menus, tables, orders, staff accounts, branches, reports, payments, and subscriptions.

Restaurant Staff

Restaurant staff may use FlowDine to receive, process, update, prepare, serve, or complete customer orders based on the access granted to them by the restaurant.

Restaurant Customers

Restaurant customers may use FlowDine to scan QR codes, view menus, place orders, make payments where available, request service, and track order status.

Visitors

Visitors may access public pages, marketing pages, demo pages, or information about FlowDine.

Account Registration

Some parts of FlowDine may require users to create an account. When creating an account, you agree to:

  1. Provide accurate and complete information.
  2. Keep your login details secure.
  3. Not impersonate another person or business.
  4. Update your information where necessary.
  5. Accept responsibility for all activities under your account.
  6. Notify us immediately if you suspect unauthorised access to your account.

Graycrest Technologies Limited may refuse, suspend, or terminate an account where we reasonably believe that the account is fraudulent, unauthorised, misleading, harmful, unlawful, or in breach of these Terms.

Restaurant Account Responsibilities

A restaurant using FlowDine is responsible for:

  1. Ensuring that its business information is accurate.
  2. Ensuring that its menus, prices, descriptions, and availability are correct.
  3. Managing staff access and permissions.
  4. Ensuring that only authorised staff use its FlowDine account.
  5. Fulfilling orders placed by customers.
  6. Handling food quality, safety, preparation, packaging, service, and delivery where applicable.
  7. Complying with applicable food, health, tax, consumer protection, and business laws.
  8. Responding to customer complaints relating to restaurant services.
  9. Ensuring that customer data accessed through FlowDine is used lawfully and responsibly.
  10. Paying applicable subscription, setup, transaction, or service fees.

Graycrest Technologies Limited is not responsible for losses caused by a restaurant's failure to manage its staff, menu, pricing, orders, customer service, or internal operations properly.

Restaurant Staff Responsibilities

Restaurant staff using FlowDine must:

  1. Use the platform only for authorised restaurant duties.
  2. Keep login details confidential.
  3. Not share staff accounts with unauthorised persons.
  4. Process orders honestly and accurately.
  5. Not manipulate order records, prices, payments, or customer details.
  6. Not delete, hide, or alter information unlawfully.
  7. Follow the restaurant's internal procedures.
  8. Report suspicious activity to the restaurant administrator or Graycrest Technologies Limited.

Any misuse of FlowDine by restaurant staff may lead to account suspension, removal of access, investigation, or further action by the restaurant or Graycrest Technologies Limited.

Customer Ordering Terms

Customers may use FlowDine to place orders in participating restaurants. By placing an order through FlowDine, the customer understands that:

  1. The order is placed with the restaurant, not directly with Graycrest Technologies Limited.
  2. The restaurant is responsible for food preparation, quality, timing, availability, and service.
  3. Menu items, prices, taxes, charges, and availability are controlled by the restaurant.
  4. An order may be accepted, rejected, delayed, cancelled, or modified depending on the restaurant's operations.
  5. Estimated preparation or service times are not guaranteed.
  6. The customer is responsible for reviewing the order before submission.
  7. The customer must provide accurate information where required.
  8. Any allergies, dietary restrictions, or special instructions should be communicated clearly to the restaurant.

Graycrest Technologies Limited provides the ordering technology but does not guarantee the quality, taste, safety, availability, or suitability of food and drinks provided by restaurants.

Payments

FlowDine may support online payment, payment confirmation, payment reference recording, or other payment-related functionality. Where online payment is enabled:

  1. Payments may be processed by third-party payment providers.
  2. Graycrest Technologies Limited may not store full card numbers, CVV, or sensitive card authentication details.
  3. Payment confirmation may depend on the payment provider, bank, network, or third-party processor.
  4. A payment may fail, remain pending, be reversed, or require reconciliation.
  5. Customers are responsible for ensuring they authorise the correct amount.
  6. Restaurants are responsible for confirming fulfilment of paid orders.

Graycrest Technologies Limited may charge restaurants subscription fees, setup fees, support fees, transaction-related fees, convenience fees, or other service fees as communicated to the restaurant.

Refunds, Cancellations, and Disputes

Refunds, cancellations, rejected orders, unavailable items, wrong orders, delayed orders, or unsatisfactory food issues are primarily between the customer and the restaurant.

Graycrest Technologies Limited may provide technical support or payment reference information to assist with dispute resolution, but we are not automatically responsible for refunding restaurant customers unless the issue was caused directly by FlowDine's technical error or as required by applicable law.

A restaurant may set its own cancellation and refund rules, provided such rules are lawful and fair.

Where an online payment is involved, refund processing time may depend on the payment provider, bank, or settlement process.

Subscriptions and Fees for Restaurants

Restaurants may be required to pay subscription fees or other charges to use FlowDine. Subscription terms may include:

  1. Monthly, quarterly, annual, or custom billing.
  2. Setup or onboarding fees.
  3. Usage-based fees.
  4. Transaction-related fees.
  5. Support or customisation fees.
  6. Add-on feature fees.

Graycrest Technologies Limited may change its fees or pricing model from time to time. Where required, we will notify affected restaurants before material pricing changes take effect. Failure to pay applicable fees may result in suspension, restriction, or termination of the restaurant's access to FlowDine.

Taxes

Users and restaurants are responsible for any taxes, levies, duties, or charges applicable to their use of FlowDine, restaurant sales, subscriptions, convenience fees, or other transactions.

Where Graycrest Technologies Limited is required by law to charge, collect, remit, or account for taxes, such taxes may be added to applicable fees.

Restaurants remain responsible for their own tax compliance in relation to food sales, business income, staff, and customer transactions.

Acceptable Use

You agree not to use FlowDine to:

  1. Break any law or regulation.
  2. Commit fraud or assist fraudulent activity.
  3. Misrepresent your identity or authority.
  4. Upload false, misleading, harmful, illegal, or offensive content.
  5. Interfere with platform security or operation.
  6. Attempt to gain unauthorised access to accounts, systems, data, or servers.
  7. Copy, scrape, reverse engineer, or misuse FlowDine's technology.
  8. Upload malware, viruses, harmful code, or automated scripts.
  9. Manipulate orders, prices, payments, records, or reports.
  10. Harass, threaten, abuse, or harm another user.
  11. Use customer data for unlawful marketing or unauthorised contact.
  12. Damage the reputation, systems, or business operations of Graycrest Technologies Limited or other users.

We may suspend or terminate access where we reasonably believe a user has violated this section.

Prohibited Restaurant Conduct

Restaurants using FlowDine must not:

  1. Display false prices or misleading menu information.
  2. Accept orders they do not intend to fulfil.
  3. Misuse customer data.
  4. Add hidden charges without proper disclosure.
  5. Use FlowDine to deceive customers.
  6. Upload illegal, unsafe, or restricted products.
  7. Manipulate staff records, order records, payment records, or reports.
  8. Allow unauthorised persons to access the dashboard.
  9. Use FlowDine in a way that harms customers or violates applicable law.

Graycrest Technologies Limited may restrict, suspend, or terminate a restaurant account that violates these Terms.

Platform Availability

We aim to keep FlowDine reliable and available, but we do not guarantee that the platform will always be uninterrupted, error-free, secure, or available at all times. FlowDine may be unavailable due to:

  1. Scheduled maintenance.
  2. Emergency maintenance.
  3. Internet or hosting issues.
  4. Payment provider downtime.
  5. Third-party service failures.
  6. Security incidents.
  7. Software bugs.
  8. Force majeure events.
  9. Network or device problems.

Graycrest Technologies Limited shall not be liable for losses caused by downtime, delays, or service interruptions beyond our reasonable control.

Updates and Changes to FlowDine

Graycrest Technologies Limited may update, improve, modify, suspend, replace, or discontinue any part of FlowDine from time to time.

We may add or remove features, adjust workflows, improve security, change dashboard design, modify APIs, or update platform functionality.

Where a change materially affects paid restaurant users, we will take reasonable steps to provide notice where appropriate.

Data Protection and Privacy

Graycrest Technologies Limited processes personal data in line with its Privacy Policy, Data Protection Policy, and applicable data protection laws.

By using FlowDine, you acknowledge that personal data may be collected and processed for account management, order processing, payment reference handling, support, security, analytics, legal compliance, and service improvement.

Our Privacy Policy explains how we collect, use, store, share, and protect personal data.

Users and restaurants must also handle personal data obtained through FlowDine responsibly and lawfully.

Intellectual Property

All rights in FlowDine, including software, design, source code, databases, workflows, trademarks, logos, graphics, product names, documentation, reports, and platform structure, belong to Graycrest Technologies Limited or its licensors.

Users are granted a limited, non-exclusive, non-transferable, revocable right to use FlowDine for lawful purposes in accordance with these Terms.

No user may copy, modify, resell, reproduce, reverse engineer, distribute, or create derivative works from FlowDine without written permission from Graycrest Technologies Limited.

Restaurants retain ownership of their own business names, menus, logos, product images, and content uploaded to FlowDine. However, restaurants grant Graycrest Technologies Limited the right to host, display, process, and use such content as necessary to provide FlowDine services.

Disclaimer

FlowDine is provided as a technology platform to support restaurant operations. While we aim to provide a reliable and useful service, we do not guarantee that FlowDine will be error-free, uninterrupted, or suitable for every restaurant's specific business needs.

Graycrest Technologies Limited does not guarantee:

  1. The quality of food or drinks sold by restaurants.
  2. The accuracy of restaurant-uploaded menus or prices.
  3. The conduct of restaurant staff.
  4. The availability of any menu item.
  5. The speed of restaurant preparation or service.
  6. The outcome of any restaurant-customer dispute.
  7. Continuous availability of third-party services.

Users use FlowDine at their own discretion, subject to applicable law.

Limitation of Liability

To the maximum extent permitted by law, Graycrest Technologies Limited shall not be liable for indirect, incidental, special, consequential, punitive, or business losses, including loss of profit, revenue, goodwill, data, opportunity, or business interruption arising from the use of FlowDine.

Graycrest Technologies Limited's total liability for any claim relating to FlowDine shall not exceed the amount paid by the affected restaurant to Graycrest Technologies Limited for the relevant service during the three months immediately preceding the event giving rise to the claim, unless a higher liability is required by law.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnity

You agree to indemnify and hold harmless Graycrest Technologies Limited, its directors, employees, contractors, agents, and partners from any claims, losses, damages, liabilities, costs, or expenses arising from:

  1. Your breach of these Terms.
  2. Your misuse of FlowDine.
  3. Your violation of applicable law.
  4. Your unauthorised use of personal data.
  5. Your uploaded content.
  6. Your restaurant operations.
  7. Your food quality, service, pricing, fulfilment, or customer disputes.
  8. Your negligence, fraud, or misconduct.

Force Majeure

Graycrest Technologies Limited shall not be liable for failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control.

Such events may include power failure, internet failure, hosting failure, payment provider failure, natural disaster, strike, civil unrest, government action, war, epidemic, cyberattack, technical failure, or other events beyond reasonable control.

Changes to These Terms

Graycrest Technologies Limited may update these Terms from time to time.

Where we make material changes, we may notify users through the website, dashboard, email, or other appropriate channels.

Continued use of FlowDine after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you should stop using FlowDine.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Dispute Resolution

Where a dispute arises from these Terms or the use of FlowDine, the parties shall first attempt to resolve the dispute amicably through good-faith negotiation.

If the dispute is not resolved amicably within a reasonable period, the parties may explore mediation or other alternative dispute resolution methods before taking legal action, unless urgent legal relief is required.

Where legal proceedings become necessary, the courts of competent jurisdiction in Nigeria shall have jurisdiction, subject to applicable law.

Severability

If any part of these Terms is found to be invalid, illegal, or unenforceable, the remaining parts shall continue to be valid and enforceable.

No Waiver

Failure by Graycrest Technologies Limited to enforce any right under these Terms does not mean we have waived that right.

Assignment

Users may not transfer or assign their rights or obligations under these Terms without written permission from Graycrest Technologies Limited.

Graycrest Technologies Limited may transfer or assign its rights and obligations where necessary for business restructuring, merger, acquisition, sale of assets, product transfer, or operational reasons.

Entire Agreement

These Terms, together with our Privacy Policy, Data Protection Policy, subscription agreement, service agreement, invoice terms, and any other applicable written agreement, form the entire agreement between you and Graycrest Technologies Limited regarding your use of FlowDine.

Where there is a conflict between these Terms and a separately signed agreement, the signed agreement shall prevail to the extent of the conflict.

User Acknowledgement

By using FlowDine, creating an account, scanning a QR code, placing an order, accessing a restaurant dashboard, managing staff, or using any part of the platform, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
